This Acceptable Use Policy (the AUP) explains what you may and may not do when using the Alethium platform, websites, APIs and related services (the Services).
This AUP forms part of, and is incorporated into, the Alethium Buyer Terms of Sale and Seller Terms of Service. Capitalised terms have the meanings given in those documents.
SECTION 1
Who this applies to
1.1
This AUP applies to all users of the Services, including Buyers, Sellers, their staff and agents, and anyone using our APIs or integrations.
SECTION 2
Permitted use
2.1
You may use the Services to:
- List, purchase and manage legitimate products and ingredients used within the health, wellness and nutrition supply chain.
- Transact B2B orders, manage fulfilment and logistics, and exchange necessary documentation (e.g., COAs, delivery notes, invoices).
- Communicate with counterparties about quotations, specifications, orders, delivery and quality matters.
- Build reasonable internal tools and integrations using our APIs for forecasting, inventory, finance and compliance workflows.
- Export and analyse your own data from the platform for lawful business purposes.
SECTION 3
General standards
3.1
When using the Services, you must:
- Comply with applicable law (including product safety, labelling, advertising and consumer protection laws relevant to B2B marketing where applicable).
- Provide accurate information in listings, offers, specifications and documentation; promptly correct any error.
- Use truthful, supportable claims about ingredients and products; avoid misleading statements or unsupported medical claims.
- Respect intellectual property — no unauthorised use of third-party trade marks, logos, content or confidential information.
- Handle personal data properly, only as necessary for the transaction and in line with applicable data protection laws and our privacy notices.
SECTION 4
Prohibited activities
4.1
To keep things safe and fair, please do not use the Services to:
- Break the law or help someone else to do so, in any jurisdiction relevant to the transaction.
- List or sell goods that are illegal to sell to the intended buyer or in the delivery destination, or that require licences you do not hold.
- Misrepresent goods (including origin, composition, specification, shelf life, or certification) or falsify documentation.
- Bypass platform processes for in-flight orders (e.g., taking off-platform payment or instructing buyers to pay different parties without authorisation).
- Engage in fraud or deception, including chargeback abuse, impersonation, or fictitious orders.
- Disrupt or degrade the Services — introduce malware, probe or scan systems without permission, interfere with security, or attempt to access data you are not entitled to.
- Spam or abuse communications features (bulk unsolicited messages, harassment or threatening behaviour).
SECTION 5
Product and content standards
5.1
Content you upload (including listings, images, labels, certificates and marketing copy) must:
- Be accurate, not misleading, and match the physical goods supplied.
- Include all mandatory information for the destination market where required (e.g., allergens, storage conditions, batch/lot details when applicable).
- Not include unlawful or discriminatory content.
- Respect third-party rights and any confidentiality obligations.
SECTION 6
Logistics, safety and recalls
6.1
Sellers must:
- Ship using appropriate packaging, temperature controls and hygiene for the product.
- Maintain traceability (batch/lot records) and provide documentation on request.
- Cooperate promptly with quality investigations, withdrawals or recalls initiated by Alethium or competent authorities.
SECTION 7
Fair use of APIs and automation
- Keep within any published or communicated rate limits; do not unduly burden the Services.
- Use authenticated requests and keep credentials secure.
- Do not scrape or harvest data you are not authorised to access; only process data necessary for your transaction or legitimate business purpose.
SECTION 8
Payments and collections
- Follow the payment instructions issued by Alethium or its Finance Parties. Do not divert payments or induce others to do so.
- Do not take steps to dilute or delay payment of invoices (e.g., issuing unapproved credits or side-agreements for platform orders).
SECTION 9
Enforcement and how we handle issues
9.1
We aim to resolve issues pragmatically and with notice where possible:
- We may contact you to remedy a breach within a reasonable timeframe.
- For serious or repeated breaches, we may suspend listings, withhold payouts, cancel orders, or terminate access where necessary to protect users, comply with law, or meet Finance Party requirements.
- We may remove or edit content that violates this AUP.
- You can appeal a decision by contacting support with relevant evidence.
We may also report suspected unlawful activity to competent authorities where required by law.
SECTION 10
Changes to this AUP
10.1
We may update this AUP from time to time. Where practicable, we'll give at least 30 days' notice of material changes via email or the platform. Updates will not adversely affect the rights of any Finance Party in relation to existing or financed receivables without that party's consent.
SECTION 11
Governing law
11.1
This AUP and any non-contractual obligations are governed by the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to rights to seek interim relief elsewhere.
